1. Your Relationship with Us

Welcome to FlipFic – a global platform for discovering, sharing, and enjoying stories and creative content.

These Terms of Service ("Terms"), together with our Privacy Policy and other referenced documents, govern your legal relationship with FlipFic regarding your access to and use of:

• Our website
• Mobile applications ("App")
• All related features (collectively, the "Services")
• By accessing or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms.
• If you do not agree, you must immediately stop using the Services.

2. Acceptance of These Terms

Your use of the Services creates a legally binding agreement between you and FlipFic.

We may modify these Terms from time to time.

If changes are material, we will notify you – via in-app notice, email, or by updating the "Last Updated" date.

Changes take effect 14 days after notice (or immediately if required by law).

Continuing to use the Services after the effective date means you accept the revised Terms.

3. Your Eligibility for Use

To use the Services, you must:

• Be at least 13 years old (or the minimum age required by your local law, e.g., 16 in the EEA)
• If under that minimum age, you may only use the Services with explicit parental/guardian consent
• Not have been previously suspended or banned from the Services
• Comply with all applicable laws and regulations
• If you use the Services on behalf of an organization, you confirm you have the authority to bind that organization to these Terms.

4. Registration and Account

Account Creation

To access certain features, you must create an account using accurate and complete information. You are responsible for keeping that information up to date.

Account Security

Your account is personal. You are solely responsible for keeping your login credentials confidential and for everything done under your account.

If you suspect unauthorized access, notify us immediately.

Account Deletion

You may delete your account via Account Settings. Deletion is permanent and may result in loss of data and access.

Third-Party Login

You may register using third-party services (e.g., Google, Apple). By doing so, you authorize them to share certain information with us and agree to comply with their terms as well.

Account Suspension / Termination

We may suspend or terminate your account for:

• Violations of these Terms
• Legal requests
• Prolonged inactivity
• Suspected fraudulent or illegal activity

5. Your Access to and Use of Our Services

Permitted Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

Restrictions – You may NOT:

• Use the Services for unauthorized commercial purposes
• Modify, reverse engineer, or disrupt the Services
• Use automated tools to access or collect data without permission
• Bypass access controls or use the Services unlawfully
• Device Requirements
• You are responsible for having compatible devices and internet access to use the Services.

6. Subscription Services

Free vs. Premium

We offer both free and paid (premium) services. Free Services may include advertisements and have limited features.

Subscription Plans

By subscribing to a premium plan, you agree to pay the specified fees and taxes for your chosen billing cycle.

Auto-Renewal

Subscriptions automatically renew unless you turn off auto-renewal at least 24 hours before the current billing period ends.

Billing and Payment

You authorize us to charge your payment method. Billing cycles are based on your initial purchase date.

Manage payments through your account or third-party platform (e.g., App Store).

Cancellation and Refunds

You may cancel anytime. After cancellation, access continues until the end of the paid period.

Subscription fees are generally non-refundable unless required by law.

Price Changes

We may change subscription prices with at least 30 days’ notice. Continued use after the change means you accept the new price.

7. Content-Related Matters

Ownership

• FlipFic Content – All content we provide (software, designs, trademarks, etc.) is owned by us or our licensors and protected by intellectual property laws.
• Your Content (User-Generated Content – UGC) – You retain ownership of content you post. By posting, you grant us a worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Services.
• Content Availability
• We do not guarantee that any specific content will remain available indefinitely. We may remove content for legal, licensing, or operational reasons.
• Content Disclaimer
• We do not endorse or verify the accuracy of any content on the platform. You access and use all content at your own risk.

8. Platform Interactions

Guidelines

You agree not to post content that is:

• Illegal, harmful, threatening, abusive, harassing, defamatory, or infringing
• Spam, or content that violates our policies
• Moderation
• We reserve the right to review, edit, hide, or remove any content and to restrict users who violate guidelines.
• Reporting tools are available for inappropriate content.

9. Third-Party Products or Services

The Services may contain links or integrations to third-party websites or services.

We do not control or endorse these third parties and are not liable for your interactions with them.

Your use of third-party services is subject to their own terms and privacy policies.

10. Restricted User Conduct

You agree not to engage in:

• Fraudulent activity
• Harassing, stalking, or threatening others
• Gaining unauthorized access to accounts, data, or systems
• Disrupting the Services
• Any illegal activities using the Services
• Violations may result in account termination and legal action.

11. Disclaimer of Liability

"As Is" Basis

The Services are provided "as is" and "as available" without warranties of any kind, express or implied.

Limitation of Liability

To the fullest extent permitted by law, FlipFic and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

12. Compliance with Laws

You agree to use the Services in compliance with all applicable local, national, and international laws and regulations.

13. Handling of Illegal or Breaching Conduct

We may notify you of breaches and request correction.

For severe or uncorrected breaches, we may:

• Suspend/terminate your account
• Remove content
• Refuse service
• Pursue legal action
• Report conduct to authorities

14. Indemnification

You agree to indemnify and hold harmless FlipFic and its affiliates from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your content

15. Intellectual Property Infringement Handling

We respect intellectual property rights.

To submit a claim of infringement, please contact our designated agent (see Section 20.2).

We will process valid notices in accordance with applicable law.

16. Agreement Validity and Modification

Severability

If any provision is found invalid, the remainder of the Terms remains in effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlipFic regarding the Services.

17. Applicable Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of laws principles.

Dispute Resolution

Most disputes must be resolved through binding, individual arbitration administered by the American Arbitration Association, not in court.

Class actions and jury trials are waived.

18. Privacy Policy

Our Privacy Policy describes how we handle your personal data and is incorporated into these Terms.

Please review it to understand our practices.

19. Termination of Services

You may terminate your use by deleting your account or ceasing access.

We may terminate the Services or your access at any time, for any reason, with or without notice.

We may notify you via email, in-app alerts, or website notices.

Assignment

We may assign these Terms to a third party in connection with a merger or sale.
